New Mountain Finance Corporation (the “Company”) (NMFC) announced
today that it has completed an underwritten secondary offering of
4,000,000 shares of its common stock at a public offering price of
$15.00 per share on behalf of a selling stockholder, New Mountain
Finance AIV Holdings Corporation (“AIV Holdings”). In connection with
the offering, AIV Holdings has granted the underwriters for the offering
an option to purchase up to an additional 600,000 shares of common
stock. No shares were sold by the Company, and it did not receive any
proceeds from this offering.

The joint-lead book-running managers for the offering were Goldman,
Sachs Co., Morgan Stanley Co. LLC and Wells Fargo Securities, LLC.
